// 01. PREAMBLE
This Agreement governs the relationship between SmoothOpsX ("The Operator") and the Creator ("The Talent"). We operate on a strict shadow-agency model designed to monetize existing attention.
// 02. REVENUE SHARE
We work on a performance basis. Standard protocol involves a Net Revenue Split (typically 50/50) on all digital products created and launched by SmoothOpsX. "Net Revenue" is defined as Gross Sales minus payment processor fees (Stripe/PayPal) and direct ad spend (if applicable).
// 03. INTELLECTUAL PROPERTY
The Creator retains 100% ownership of their personal brand, audience data, and social channels. SmoothOpsX retains ownership of the proprietary systems, sales frameworks, and email automations installed in the Creator's backend until a buyout clause is triggered or the contract term ends.
// 04. CONFIDENTIALITY
As a Shadow Operator, our involvement is strictly confidential. We do not publicly claim credit for your launches unless explicitly agreed upon. We build in the dark; you shine in the light.
// 05. TERMINATION
Either party may terminate this agreement with 30 days written notice. Upon termination, revenue share ceases for new sales, but continues for recurring subscriptions generated during the term for a period of 12 months.
